Club Constitution

Article I – Name

The official name of the organization shall be Muscle Car Association of Richmond, also known as MuscleCAR

Article II – Purpose

The purpose of this organization shall be to promote the restoration, preservation, and -- most important of all – the enjoyment of all models of muscle cars as identified in the club bylaws. The club will facilitate opportunities for fellowship and contributions to the

Article III – Membership

Membership in the club shall be open to all who own a well-conditioned muscle car. The car must be state licensed, free of body and interior flaws, mechanically sound and ninety-five percent original in appearance.

Article III-A – Membership – Modified Muscle

Membership in the club shall also be open to all who own a modified muscle car. All criteria defined in Article III must be met with the exception of the originality. The following modifications are acceptable for modified muscle: hood scoops – side pipes – mini or full tub – custom interior – roll bar – custom exterior – custom paint – custom tires and wheels.

Article IV Auxiliary Membership

Auxiliary membership shall be open to any person who demonstrates an interest and appreciation of muscle cars and plans to have a club ready car within 2 years. Auxiliary members do not have a vote in business before the club but are permitted to participate in discussion. The number of auxiliary members shall not exceed 20% of the total membership.

Article V – Membership Standing

Membership is suspended if a member becomes three months behind in payment of dues. Suspended member cannot vote during club meetings. Suspensions are lifted when the member becomes current in their dues. Membership will be terminated if a member is six months behind in payment of dues. Termination cannot be lifted. However, a terminated member can reapply for membership as a new member. Any prior balance must be resolved.


Members who fail to participate, with their car, in a club event over the course of one year shall be transferred to auxiliary membership. Full membership will be restored once they bring their car to a club event.  The auxiliary membership cap is waived in the event of a full member becoming an auxiliary member.  

Article VI – New Members

Membership will be determined by vote at an official meeting of the club. Candidates for membership must be nominated by a current member in good standing.

Article VI – Officers

The elected officers of this organization shall be:

- President

- Vice President

- Secretary

- Treasurer

Only full members can hold an office.

Article VII – Club Constitution Amendments

Amendments to the Club Constitution shall be in the form of new Articles or revisions to existing Articles of the Club Constitution. To pass, an Article addition or revision shall be required to receive a two-thirds majority of the votes cast by club members. Any proposed change to the Articles of the Club Constitution must be posted on the club website for a minimum of 30 days prior to the date of the vote.

Club Bylaws

Section 1 – Duties of Elected Officers

1.1 President

The President shall preside at all meetings, and be responsible for setting club meeting times, locations, and the development of club meeting agenda content. Working together with the Vice President, the President shall also be responsible for development of the annual club event calendar. The President shall appoint all non-elected club committee managers subject to acceptance by the person(s) nominated, and approval by a majority vote of the members present at a regularly scheduled club meeting. The president has the authority to spend club funds if it is not practical to take the request for expenditures to the next club meeting. However, the president must receive concurrence from one of the other officers.

1.2 Vice President

The Vice President shall assist the President in the development of the annual club event calendar and shall be responsible for maintaining its accurate listing (on the club website) throughout the calendar year. In the absence of the President, the Vice President shall perform the duties of the President at scheduled club meetings and events.

1.3 Secretary

The Secretary shall keep minutes of the club meetings and shall be responsible for submitting those minutes for review. The secretary shall be responsible for sending minutes out for immediate publication on the club website. The club Secretary also maintains a file of reports, a file of correspondence, and an up to date record of any business of the club.

1.4 Treasurer

The treasurer is responsible for the collection of club membership dues, and maintaining financial records regarding the clubs receipts and expenditures. The Treasurer shall provide club members with a financial status.

Section 2 – Elections

2.1 Term of Office

Elected officers shall serve for a term of one calendar year, officially taking office at the club meeting in January.

2.2 Term Limits

Elected officers shall have a three term limit.

2.3 Nominations

Candidates for elected positions must be in good standing and must be nominated by a member in good standing during the November regular club meeting.

2.4 Nomination Confirmation

The Secretary shall confirm the candidates are in good standing and submit the names for immediate posting on the club website.

2.5 Official Election Notification

An official election notification shall be posted on the club website in November of the year.

2.6 Election

Elections of new officers will be held during the scheduled December club meeting.

2.7 Announcement of Election Results

New officers shall be announced after the December club meeting and on the website, immediately following the December meeting.

Section 3 – Appointed Committee Chairs

3.1 Appointed Committee Managers

The positions of Appointed Committee Managers are:

- Webmaster

- Eligibility Chair

3.2 Appointment Process

The club President may appoint any member of the club to a non-elected Committee Manager position subject to acceptance by the person nominated, and approval by a majority vote of the members present at a regularly scheduled club meeting.

3.3 Term of Office

Appointed Committee Managers serve until they no longer wish to hold their appointed office or no longer wish to be a member of the club.

3.4 Notification Process

Appointed Committee Chairs are required to give a written notice to the club secretary two months prior to leaving their office or the club.

Section 4 – Meetings

4.1 Meeting Months

The club shall schedule a meeting once a month.

4.2 Meeting Dates & Times

The club President shall be responsible for setting the times, and locations of the club meetings, subject to acceptance by the other elected club officers.

Section 5 – Amendments

5.1 Amendments to Club By-Laws

New club by-laws may be added and existing by-laws amended at any regularly scheduled club meeting. By-law amendments are not to be confused with amendments to the Club Constitution, see Article V of the Club Constitution.

5.2 Notification

Notification that a vote to add a new by-law or amend an existing by-law must be listed on the upcoming meeting agenda and be posted on the club website seven days prior to the meeting date.

5.3 Vote

A motion to add a new by-law or amend an existing by-law shall require approval by a majority vote of the members present at a regularly scheduled club meeting.

Section 6 – Dues

6.1 Membership

Membership fees are $20 per month.

6.2 Auxiliary Membership

Auxiliary membership fees are $20 per month.

6.25 Holiday Dinner Dues

Members will have up to $30 credited to future dues if they do not bring a guest to the dinner. Members will have up to $60 credited to future dues if they do not attend the dinner. Either credit is contingent upon the member giving at least one week’s notice, prior to the dinner, of their plans not to attend. The actual amount will depend on the number of month’s membership ($5 per month). Members who have not been members for the full year must pay the difference prior to the dinner to get their dinner contribution up to the $60 for the year.

6.3 Any member who resigns or is terminated from the club will be reimbursed any future dues paid based on the date of resignation or termination. No other funds will be reimbursed.

6.4 Should the club disband any funds in the treasury will be donated to a charity designated by a majority vote of the membership.

Section 7 – Definitions

7.1 Muscle Car

A muscle car, by the strictest definition, is an intermediate sized 1961 to 1974 performance oriented model powered by a large V8 engine at an affordable price.

Additional cars can be added to the list by majority vote at any regular meeting of club.

7.3 Good Standing

A member who is current in payment of membership dues and consistently presents a positive image for the club is considered in good standing.
